Abstract

This study investigates the corporate governance practices and their influence on strategic management in Airtel Mobile Communication. Nigeria. As competition and regulatory demands intensify in the telecommunications sector, effective governance mechanisms have become essential to ensure transparency, accountability, and strategic alignment. The study focuses on two key corporate governance variables board composition and transparency and their influence on managerial decision-making and organizational performance. Using a descriptive survey design, data were collected from 250 managerial and administrative staff across Airtel’s regional offices. Respondents were selected through purposive sampling based on their knowledge of governance practices. Data analysis involved both descriptive and inferential statistical techniques, including regression analysis. Findings revealed a statistically significant positive relationship between board composition and managerial effectiveness, as well as between transparency and management decision-making. Specifically, the presence of independent and professionally diverse board members improved strategic oversight, while timely disclosure of information enhanced internal accountability and trust. The study concludes that corporate governance is a critical driver of performance and efficiency in the telecom sector. It recommends that Airtel Nigeria and similar organizations prioritize board independence, strengthen internal audit systems, adopt international reporting standards, and embed ethical key performance indicators into leadership assessments. These measures are vital for ensuring sustained operational success and stakeholder confidence in a highly dynamic business environment.
